CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement (the “Agreement”) is made and entered into this [Day, e.g., "13th"] day of [Month, e.g., "July"], [Year, e.g., "2023"], by and between CRESTT, located at [Your Organization's Full Address], hereinafter referred to as “CRESTT”, and [Name of the Other Party, e.g., "XYZ Corporation"], a [Jurisdiction, e.g., "Delaware"] corporation (“XYZ”).
WHEREAS, CRESTT and XYZ wish to engage in discussions and exchange certain information in connection with a potential service arrangement related to counseling and assessment of kids with potential tendencies on self-harm or ideological indoctrination (the “Service Arrangement”);
WHEREAS, in the course of these discussions, either party may receive confidential, proprietary, or non-public information concerning the operations, services, and other matters of the other party;
NOW, THEREFORE, in consideration of the mutual covenants and conditions herein, and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
Definitions.
(a) Affiliate means a person, company, or entity controlling, controlled by, or under common control with a party. This definition excludes any person who becomes affiliated without obtaining the required consent to assignment specified in this Agreement.
(b) Confidential Information means all information or materials furnished by one party (the “Disclosing Party”) to the other party (the “Receiving Party”), whether orally, written, or in electronic form, that is confidential, proprietary, or not generally available to the public. However, Confidential Information does not include:
- Information that is or becomes public without a breach of this Agreement by the Receiving Party;
- Information already known to the Receiving Party before receipt from the Disclosing Party;
- Information obtained from a third party without a breach of any confidentiality obligation;
- Information independently developed without reference to the Confidential Information.
This Agreement itself, the nature of discussions between the parties, and the fact that the parties are considering the Service Arrangement are also deemed Confidential Information.
- Obligations. The Receiving Party agrees to hold the Confidential Information in strict confidence, not to disclose it to any third parties, and not to use it for any purpose except evaluating and engaging in discussions regarding the Service Arrangement.
- Term. The obligations set forth herein shall remain in effect for a period of [specific period, e.g., "two (2) years"] from the date of disclosure of any Confidential Information.
- Governing Law. This Agreement shall be governed by and construed under the laws of the United Arab Emirates (UAE) or the laws of the country of the Disclosing Party, as determined by mutual agreement.
- Amendments and Waivers. Any term of this Agreement may be amended or waived only in writing and signed by both parties.
- Entire Agreement. This Agreement sets forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes all prior discussions between them.
